Appointment Provisions

Department of Employment and Social Development Act

The four Commissioners shall be appointed as follows:

  • the Deputy Minister of Employment and Social Development, who shall be the Chairperson of the Commission;
  • an Associate Deputy Minister of Employment and Social Development, who shall be the Vice-Chairperson of the Commission;
  • a person appointed by the Governor in Council after consultation with organizations representative of workers; and
  • a person appointed by the Governor in Council after consultation with organizations representative of employers.

A Commissioner, other than the Chairperson or Vice-Chairperson, shall be appointed by the Governor in Council to hold office during good behaviour for a term not exceeding five years but may be removed by the Governor in Council at any time for cause. Eligible for reappointment on the expiration of each term of office.

In the event of the absence or incapacity of a Commissioner other than the Chairperson or Vice-Chairperson or if the office is vacant, the Governor in Council may designate a person to act as a Commissioner for the period of the absence, incapacity or vacancy and the person so designated has and may exercise all the powers and perform all the duties and functions of a Commissioner, unless the Governor in Council specifies otherwise.

In the event of the absence or incapacity of the Chairperson or if the office of Chairperson is vacant, the Vice-Chairperson has and may exercise all the powers and perform all the duties and functions of the Chairperson.

In the event of the absence or incapacity of the Vice-Chairperson, if the office of the Vice-Chairperson is vacant or if the Vice-Chairperson is acting as Chairperson, the Governor in Council may designate a person to act as Vice-Chairperson for the period of the absence, incapacity or vacancy or period during which the Vice-Chairperson is acting as Chairperson, and the person so designated has and may exercise all the powers and perform all the duties and functions of the Vice-Chairperson, unless the Governor in Council specifies otherwise.

The head office of the Commission shall be in the National Capital Region or at such other place in Canada as may be designated by order of the Governor in Council.

The Chairperson and Vice-Chairperson shall reside in the National Capital Region or at the place designated by the Governor in Council or within reasonable commuting distance of that region or place.

Consultation

The Department of Human Resources Development Act specifies that two of the four commissioners shall be appointed as follows:

  • a person appointed by the Governor in Council afer consultation with organizations representative of workers; and
  • a person appointed by the Governor in Council after consultation with organizations representative of employers.

The Canada Mortgage and Housing Corporation (CMHC) is Canada's national housing agency. CMHC is committed to helping Canadians access a wide choice of quality, affordable homes, while making vibrant, healthy communities and cities a reality across the country. CMHC works to enhance Canada's housing finance options, assist Canadians who cannot afford housing in the private market, improve building standards and housing construction, and provide policymakers with the information and analysis they need to sustain a vibrant housing market in Canada.

The Board of Directors shall consist of:
  • the Chairperson of the Board who is appointed by the Governor in Council to hold office during pleasure for such term as the GIC considers appropriate; eligible for reappointment;
  • the President and CEO who is appointed by the Governor in Council to hold office during pleasure for such term as the Governor in Council considers appropriate; eligible for reappointment;
  • the Minister's Deputy Minister;
  • the Deputy Minister of Finance; and
  • eight directors, all appointed by the Minister with the Governor in Council approval to hold office during pleasure for a term not exceeding four years, ensuring, as far as possible, that not more than one-half of the directors' terms expire in any one year; eligible for reappointment.
The Deputy Minister and the Deputy Minister of Finance may designate an alternate to attend in their absence any meeting of the Board of Directors.

No officer or employee of a Crown corporation or any of its affiliates, other than the chief executive officer of a parent Crown corporation, shall be a director of the parent Crown corporation.


Where the office of a director becomes vacant during the term of the director appointed thereto, the GIC shall appoint a director for the remainder of the term.

The President is the Chief Executive Officer of the Corporation.

In the event of the absence or incapacity of the President, or if the office of President is vacant, the director or officer of the Corporation that the Board designates has and may exercise and perform all the powers and functions of the President, including those as a member of the Board and of the Executive Committee.

Where a director is a member of the public service of Canada, the GIC may authorize another member of the public service of Canada to act as director in his or her stead and the member of the public service while so acting shall be deemed to be a director.

If a director is not appointed to take office on the expiration of the term of office of an incumbent director, other than an officer-director, the incumbent director continues in office until a successor is appointed.

Eligibility/Conflicts

No person shall be appointed or continue as President or as a director from outside the federal public administration if that person:
  • is a director, officer or employee of a lending institution;
  • is not a Canadian citizen or otherwise a British subject ordinarily resident in Canada; or
  • is employed in any capacity in the public service of Canada or of a province or holds any office or position for which a salary is payable out of public moneys, but nothing in this paragraph prohibits such a person from holding office while performing temporary services for the Government of Canada or of a province.
A person appointed as President or as a director from outside the federal public administration who is a shareholder of a lending institution shall divest themselves of their shares of the lending institution within three months after the date of their appointment and afterwards shall not during their term of office have an interest or right either directly or indirectly as a shareholder in a lending institition.

A person appointed as President or as a director from outside the federal public administration who fails to comply with the above ceases to hold office.

Consultation

The Financial Administration Act requires that before the President and CEO and the Chairman of the Board of a parent Crown corporation are appointed, the Minister shall consult the Board of Directors of the Corporation with respect to the appointment.

Quorum

A majority of the sitting members of the Board of Directors, or four directors, whichever is the greater number, shall constitute a quorum, provided that the Chair or, with the Chair’s consent or in the Chair’s absence or incapacity or if that office is vacant, the President is part of the quorum. Auditor

The auditor of a Crown Corporation shall be appointed annually by the Governor in Council, after the appropriate Minister has consulted the Board of Directors of the corporation, and may be removed at any time by the Governor in Council, after the appropriate Minister has consulted the Board.

The Auditor General of Canada shall be appointed by the Governor in Council as the auditor, or a joint auditor, of each Crown Corporation, unless the Auditor General waives the requirement of being so appointed.

An auditor of a Crown Corporation is eligible for reappointment on the expiration of the auditor’s appointment.

If an auditor of a Crown Corporation is not appointed to take office on the expiration of the appointment of an incumbent auditor, the incumbent auditor continues in office until a successor is appointed.

A person is disqualified from being appointed or re-appointed or continuing as an auditor of the corporation if that person is not independent of the corporation, any of its affiliates, or the directors or officers of the corporation or any of its affiliates. Expenses reimbursed in accordance with policies and procedures of the Corporation.

National Seniors Council

Mandate

The National Seniors Council advises on current and emerging issues and opportunities related to the quality of life, health and well-being of seniors, both now and in the future; as needed, undertakes activities such as commissioning research, convening expert panels and roundtables, and holding consultative meetings; and delivers well-balanced advice, taking into account the views of experts; seniors; organizations and groups that provide seniors' programs and services; provincial/territorial advisory bodies on seniors; and other relevant stakeholders and interested parties.

Appointment Provisions

The Council shall have a maximum of 12 members who shall be appointed by the Governor in Council on the recommendation of the Prime Minister, to hold office during pleasure for a term not exceeding three years. As far as possible, the terms of office of not more than one half of the members will expire in any one year. One of the members shall be designated by the Governor in Council on the recommendation of the Minister of Human Resources and Skills Development and the Minister of Health to serve as Chairperson. Any member may be reappointed once to the Council in the same or another capacity.

Eligibility/Conflicts

The Council membership may be diverse, including seniors, representatives of organizations that serve the needs or interests of seniors, and experts from fields of study related to seniors and aging.

Department of Employment and Social Development Act

The Social Security Tribunal consists of a General Division and an Appeal Division.

The General Division consists of the Income Security Section and the Employment Insurance Section.

The Tribunal consists of full-time members and part-time members to be appointed by the Governor in Council.

The Governor in Council designates one of the full-time members to hold office as the Chairperson and three full-time members to hold office as Vice-chairpersons, one of whom is responsible for the Appeal Division, one of whom is responsible for the Income Security Section and one of whom is responsible for the Employment Insurance Section.

Each full-time member of the Tribunal is to be appointed for a term of not more than five years, and each part-time member is to be appointed for a term of not more than two years. A member may be reappointed for one or more additional terms.

Each member of the Tribunal holds office during good behaviour and may be removed for cause by the Governor in Council at any time.

Each Vice-chairperson exercises any powers and performs any duties and functions that the Chairperson may assign. Each member exercises any powers and performs any duties and functions that the Vice-chairperson who is responsible for the Division or Section for which they hear matters may assign.

The Chairperson may assign members to hear matters in the Appeal Division, the Income Security Section or the Employment Insurance Section.

The Minister must consult a committee composed of the Chairperson of the Tribunal and the commissioners of the Canada Employment Insurance Commission before recommending to the Governor in Council any person to be appointed as a member of the Tribunal who may hear matters in the Employment Insurance Section.

Each full-time member of the Tribunal must devote the whole of their time to the performance of their duties under this Act.

A part-time member of the Tribunal must not accept or hold any office or employment inconsistent with their duties under this Act.

In the event of the absence or incapacity of the Chairperson or if the office of Chairperson is vacant, the Vice-chairperson of the Appeal Division acts as Chairperson and may exercise all the powers and perform all the duties and functions of the Chairperson.

In the event of the absence or incapacity of the Vice-chairperson of the Appeal Division, or if the office of Vice-chairperson of the Appeal Division is vacant, the Minister may authorize another Vice-chairperson to act as Chairperson and that Vice-chairperson may exercise all the powers and perform all the duties and functions of the Chairperson.

In the event of the absence or incapacity of a Vice-chairperson or if the office of a Vice-chairperson is vacant, the Chairperson may authorize a member to act, on any terms and conditions that the Chairperson may specify, as Vice-chairperson for the time being.

The Chairperson and the Vice-chairpersons must reside within the distance from the head of office of the Tribunal or at any other place within Canada that may be designated by the Governor in Council.

Remuneration

Each member of the Tribunal is paid the remuneration fixed by the Governor in Council.

Each full-time member of the Tribunal is entitled to be paid reasonable travel and living expenses incurred by them while absent from their ordinary place of work in the course of performing their duties under this Act.

Each part-time members of the Tribunal is entitled to be paid reasonable travel and living expenses incurred by them while absent from their ordinary place of residence in the course of performing their duties under this Act.
